These Terms & Conditions govern your access to and use of Eggy Network, eggy.net, associated Eggy websites, user accounts, community areas, online services, paid services, software products and digital content.
These Terms apply, where relevant, to: Eggy Network, Eggy BNC, Eggy Mail, Eggy Add-ons, Eggy Styles, Eggy games and applications, downloadable XenForo products, Eggy All Access, Premium services, subscriptions, custom development, support services and other products or services supplied by Eggy.
Certain products or services may also have their own licence notices, product terms, community rules, acceptable-use policies, privacy notices or service-specific conditions. Where a service-specific condition directly conflicts with a general provision in these Terms, the more specific condition will apply to that particular service.
By creating an Eggy account, purchasing or subscribing to a service, downloading Eggy digital content or otherwise using an Eggy product or service, you agree to the Terms that apply to that use.
General Eggy accounts and community services are available to users aged 13 or over.
If you are under 18, you must obtain any permission required by the laws applicable to you before making purchases or entering into paid agreements.
If you make a purchase or use an Eggy service on behalf of a company, organisation or other legal entity, you confirm that you have authority to act on its behalf and, where applicable, bind it to these Terms.
Eggy may refuse registration, purchases or access where reasonably necessary for security, fraud prevention, legal compliance, abuse prevention or enforcement of these Terms.
You are responsible for keeping your Eggy account, password and authentication credentials secure.
You must provide accurate information where required and maintain access to the email address associated with your account.
Accounts must not be sold, transferred, shared for the purpose of circumventing licensing restrictions, or used to evade a suspension, restriction or termination.
You should notify Eggy as soon as reasonably possible if you believe your account has been compromised.
Eggy may require reasonable verification of account ownership before providing access to sensitive account, billing, licence, download or recovery functions.
You must not use Eggy products, infrastructure or services to:
Security research, scraping, bulk access, automation or other unusual technical activity requires prior permission where that activity could reasonably affect Eggy systems, infrastructure or other users.
Eggy community areas may be governed by additional Community Rules.
You remain responsible for content that you submit, upload or publish.
By submitting content through an Eggy community service, you grant Eggy a non-exclusive, worldwide and royalty-free licence to store, reproduce, format, process and display that content where reasonably necessary to operate, moderate, secure and maintain the relevant service.
You retain ownership of your original content.
Eggy may remove, restrict, edit, move or moderate content where reasonably necessary for rule enforcement, security, legal compliance, abuse prevention or normal service operation.
Product descriptions, current prices, compatibility requirements, membership options and product features are shown on the relevant product or subscription page at the time of purchase.
Submission of payment does not require Eggy to accept an order where there is an obvious pricing error, fraudulent transaction, technical failure, unavailable product or another legitimate reason preventing fulfilment.
Where an order has been accepted in error and cannot reasonably be fulfilled, any payment received for that order will be refunded.
Prices, sales, subscription prices and promotions may change for future purchases. A later sale, promotion or price reduction does not normally create an entitlement to a partial refund on an earlier purchase.
Coupon codes and promotional discounts:
Eggy software, add-ons, styles, games, downloadable packages and similar products are supplied as digital content.
Where required by applicable consumer law, a customer requesting immediate access to downloadable digital content may be asked to:
Nothing in these Terms removes or limits any consumer right that cannot legally be excluded.
Where digital content is faulty, materially not as described or otherwise fails to meet applicable statutory requirements, the customer may be entitled to remedies available under applicable consumer law.
Refund requests are considered according to the nature of the purchase, whether digital content has already been supplied, the reason for the request and any applicable legal requirements.
Unless the relevant product page expressly states otherwise, obtaining an Eggy software product grants the authorised user a limited, non-exclusive and non-transferable licence to use that product in accordance with these Terms.
Eggy software is licensed for use and is not sold as intellectual property.
Unless otherwise stated, one individually purchased product licence is intended for one customer and one live installation.
A private development, staging or test installation associated solely with the authorised live installation may be used for legitimate testing purposes.
You may make reasonable private backups of Eggy product files that you are legitimately authorised to use.
You may modify a licensed copy for your own authorised installation unless the applicable product licence says otherwise. Eggy may require an issue to be reproduced using an unmodified copy before providing support.
You must not:
A developer, administrator or contractor may temporarily access your authorised copy where reasonably necessary to work on your licensed installation. They must not retain, reuse, redistribute or install the product elsewhere.
Any rights expressly granted by applicable law remain unaffected.
Eggy operates a zero-tolerance policy towards the knowing unauthorised redistribution of Eggy software and downloadable products.
This policy applies to all Eggy downloadable products, including paid products, free products, promotional resources, All Access products, add-ons, styles, games, applications, extensions and other downloadable resources.
The fact that an Eggy product was supplied free of charge or through Eggy All Access does not grant permission to redistribute, mirror, republish, repackage or upload that product elsewhere.
You must not:
Where Eggy confirms that a user has knowingly participated in the unauthorised redistribution of an Eggy product, that conduct will be treated as a serious and permanent breach of these Terms.
A confirmed violation will result in permanent termination of the responsible Eggy account and removal of access to Eggy product downloads, future updates, support services, All Access benefits and future purchasing facilities.
Where permitted by applicable law and the relevant licence terms, licences or entitlements associated with the offending account may also be terminated.
Creating, purchasing through or using another account to evade a piracy-related termination is prohibited. Accounts reasonably identified as being used to circumvent that termination may also be permanently restricted.
Eggy may use download records, licence information, account records, embedded identifiers, product-package information, server records and other reasonably available evidence when investigating suspected redistribution.
Enforcement will be based upon evidence reasonably considered sufficient by Eggy. An accusation, allegation or unverified report by itself will not automatically establish that a violation occurred.
A user who believes that a piracy or redistribution decision was made in error may submit an appeal through the appropriate official Eggy support process.
An appeal does not automatically restore access while an enforcement decision is being reviewed.
Nothing in this section limits statutory rights or legal protections that cannot lawfully be excluded.
Eggy XenForo add-ons and styles are independently developed products.
Purchasing, downloading or accessing an Eggy XenForo product does not include XenForo itself or a XenForo licence.
Customers are responsible for obtaining and maintaining any XenForo licence required for their installation.
Eggy is not responsible for the terms, licensing decisions, availability or actions of XenForo Ltd or other third-party platform providers.
Compatibility is limited to the versions and technical requirements stated on the relevant Eggy product page.
A product advertised for a particular XenForo version is not guaranteed to operate on earlier, later, beta, development or otherwise unsupported releases.
Some Eggy products may depend on another Eggy product or service.
Where a product page states that a base product, active licence or active entitlement is required, the dependent product may only be used where the relevant requirement is satisfied.
Reasonable dependency, licence or entitlement checks may be used to enforce those requirements.
Purchasing or obtaining an extension does not automatically grant a licence for any separately required base product.
Removing, bypassing, falsifying or interfering with dependency or entitlement checks is prohibited.
Unless the applicable product page states otherwise, individually purchased paid Eggy software products include 12 months of updates from the date of purchase.
Products accessed through Eggy All Access do not receive a separate 12-month update entitlement merely because they were downloaded.
Access to current downloads, newer versions and future product updates for products obtained through Eggy All Access requires an active All Access membership.
During an active update period or active All Access membership, the authorised customer may download updates made available under the relevant entitlement.
Expiration of an update entitlement or All Access membership does not normally disable a product version that was already legitimately downloaded and obtained, unless the product was expressly supplied under different service-specific terms.
After an applicable update or All Access entitlement expires:
Renewing an update entitlement or resubscribing to Eggy All Access does not transfer ownership of Eggy intellectual property.
Planned, proposed, previewed, announced or discussed features are not guaranteed unless they are expressly included as part of the product or service being purchased.
Product roadmaps may change because of technical limitations, security requirements, platform changes, customer feedback, development priorities or other legitimate reasons.
Customers should therefore base a purchase or subscription primarily on the functionality available and described at the time.
Future updates may add, alter, replace or remove functionality where reasonably necessary.
Eggy will make reasonable efforts to assist customers with supported products and services where the customer has a current support entitlement.
Unless a specific service level is expressly stated, support is supplied on a reasonable-efforts basis. No guaranteed response or resolution time applies.
Support for products obtained through Eggy All Access is an active membership benefit.
If an All Access membership expires, is cancelled or otherwise becomes inactive, customer support for products obtained through All Access is no longer included.
Resubscribing to Eggy All Access restores membership support while the new membership period remains active.
A product purchased separately from All Access remains subject to the support terms attached to that separate purchase.
Support may be declined, restricted or limited where:
Reporting a bug does not guarantee an immediate fix or a particular resolution date.
Custom development, styling, modifications, consultancy and other bespoke services are governed by the agreed scope, quotation, milestone plan or written project agreement.
Work requested outside the agreed scope may require an additional quotation or separate payment.
Where milestone payments are agreed, Eggy may pause further work until the applicable payment has been received.
Where work has already commenced, cancellation does not automatically entitle the customer to repayment for work already reasonably performed, subject always to applicable consumer law.
Unless otherwise agreed:
Eggy BNC provides managed IRC connectivity and related account, dashboard, WebChat, vHost and messaging functionality.
Eggy BNC does not own or control independent IRC networks.
Use of Eggy BNC does not guarantee that a third-party IRC network, server, channel or operator will accept or continue to permit your connection.
Users remain responsible for complying with the rules of every IRC network they access.
Eggy will not knowingly assist users in bypassing:
Independent IRC networks may disconnect, restrict or ban connections independently of Eggy.
Eggy is not responsible for third-party IRC network availability, policies, bans, operator decisions or technical failures outside Eggy's reasonable control.
Eggy BNC must not be used for:
Eggy may restrict an account or a particular network connection where reasonably necessary to protect Eggy, another user, an IRC network, a third-party service or Eggy's infrastructure.
Premium features are available only while the relevant Premium entitlement remains active.
Features may include additional networks, enhanced dashboard functionality, IRC Inbox functionality, custom identity controls, Premium vHosts and other advertised benefits.
Premium vHosts and domains operated by Eggy remain Eggy assets.
A user receives permission to use an eligible hostname while entitled to do so, but does not acquire ownership of the domain, hostname or underlying infrastructure.
Availability of a particular hostname is not guaranteed.
When Premium expires, Premium-only functionality may be removed and an affected network may be returned to an eligible Free configuration or vHost.
Eggy may retire, replace or change a vHost domain where reasonably necessary for security, infrastructure, legal or operational reasons.
Eggy Mail and any Eggy-provided mailbox or email-address service must be used responsibly.
An Eggy-provided email address does not transfer ownership of the underlying Eggy domain to the user.
Eggy may impose reasonable:

Users must not configure sender names, headers, addresses or message content with the intention of falsely suggesting that they are Eggy staff, official Eggy support, billing staff or another authorised Eggy representative.
Eggy cannot guarantee successful or uninterrupted email delivery.
Messages may be delayed, rejected, filtered, quarantined or blocked by Eggy or external mail providers because of spam filtering, malware detection, sender reputation, DNS configuration, remote-provider policies or technical failures.
Eggy may use automated systems to process email and related metadata for delivery, spam prevention, malware detection, security and abuse prevention.
Where reasonably necessary, authorised personnel may investigate relevant account or message information for support, security, abuse investigation or legal compliance in accordance with the Eggy Privacy Policy.
Users should retain independent copies of messages or information that are particularly important.
Eggy Mail should not be treated as a guaranteed permanent archival service unless expressly sold as such.
The authoritative list of official Eggy email addresses, domains and communication guidance is maintained in the Official Eggy Email Addresses & Impersonation Notice published on eggy.net.
That notice is incorporated into these Terms by reference.
Because official mailboxes may change over time, the current published notice takes precedence over older copies, cached pages or screenshots of the address list.
A sender display name containing “Eggy” does not by itself prove that a message originated from Eggy.
Users should verify the actual sender address and, where appropriate, independently access eggy.net rather than relying on suspicious links.
Messages sent by third parties who spoof, imitate or impersonate Eggy without authorisation are not official Eggy communications.
No user may impersonate Eggy or falsely claim authority to act on Eggy's behalf.
Suspected impersonation, phishing or fraudulent Eggy-branded communications should be reported through an official Eggy support channel.
Eggy All Access is a recurring membership service providing access to Eggy products, games, styles, add-ons, current downloads, new releases, newer versions, product updates and customer support while the membership remains active.
All Access is not a permanent purchase of the entire Eggy catalogue.
Eggy All Access is available using monthly or annual billing. Both options provide the same All Access membership benefits. The difference between them is the applicable billing period and price.
The price, billing frequency, payment method and renewal conditions applicable to the selected membership are shown before purchase.
Monthly All Access renews on a monthly basis unless cancelled. Annual All Access renews according to the annual renewal terms shown at purchase.
Cancelling an All Access membership stops future renewal. Unless otherwise required by law or affected by a reversed or refunded payment, membership benefits normally remain available until the end of the membership period that has already been paid for.
Cancellation does not normally produce a refund for a membership period that has already been supplied, except where required by applicable law.
Products already downloaded while the membership was active may continue to be used in accordance with the applicable Eggy software licence.
Eggy does not remotely disable or remove legitimately obtained product copies merely because an All Access membership expires.
When All Access becomes inactive:
Resubscribing restores current All Access download, product, update and support benefits for the new active membership period.
Resubscribing does not retrospectively make an earlier period of inactive membership continuous.
Products purchased separately from Eggy All Access are not affected by the cancellation or expiry of an All Access membership.
Separately purchased products remain subject to their own licence, download, update and support entitlement.
Failed, reversed, refunded, cancelled or otherwise unsuccessful payments may result in the associated All Access entitlement being suspended or removed where Eggy has not received or retained payment for that membership period.
Where applicable law provides additional cooling-off, cancellation, renewal or consumer rights, those rights remain unaffected.
Trials and free services may have different features, entitlements or limitations from paid services.
Eggy may change, limit or withdraw a free service or trial where reasonably necessary.
Abuse of trials, repeated account creation for the purpose of repeatedly receiving trial benefits, or manipulation of entitlement systems is prohibited.
Availability of a trial does not guarantee permanent availability of the tested feature or service.
Free products remain subject to any applicable licence and redistribution restrictions, including the provisions of Section 8 of these Terms.
Customers are encouraged to contact Eggy where they believe a payment, renewal or order is incorrect so that the matter can be investigated.
Where a payment is reversed, refunded, cancelled or subject to a chargeback, the associated paid entitlement may be temporarily suspended or removed while the transaction is reviewed because Eggy may no longer have received payment for that entitlement.
Fraudulent payment activity, intentionally false payment disputes or deliberate abuse of payment systems may result in account or purchasing restrictions.
Nothing in this section prevents a customer from exercising lawful rights through their payment provider or under applicable consumer law.
Eggy products, software, source code, graphics, designs, branding, documentation, websites and other original material remain the intellectual property of Eggy or the applicable rights holder.
Purchasing, downloading or being granted access to an Eggy product does not transfer copyright or ownership of Eggy's intellectual property.
Eggy All Access grants membership access and does not transfer ownership of Eggy's product catalogue or intellectual property.
“Eggy”, Eggy branding and associated service identities may not be used in a way that falsely suggests sponsorship, partnership, endorsement or official status.
Third-party names, software, copyrights and trademarks remain the property of their respective owners.
Eggy may use reasonable technical and administrative measures to protect software, accounts, licences, memberships and services against piracy, fraud, abuse and unauthorised access.
Such measures may include licence identifiers, entitlement checks, download records, security logs, account information, package identifiers or installation-related licence information.
Customers must not deliberately remove, bypass, falsify, defeat or interfere with these controls.
Eggy may suspend, restrict or revoke access where there is reasonable evidence of:
Confirmed unauthorised redistribution is additionally subject to the zero-tolerance provisions in Section 8.
Where appropriate, a user may contact Eggy to dispute or appeal an enforcement decision.
Depending on the nature and seriousness of a violation, Eggy may issue warnings, temporary restrictions, service suspensions or permanent account restrictions.
Serious violations may result in restrictions across multiple Eggy services where there is a legitimate security, piracy, abuse, fraud or service-integrity reason.
Confirmed unauthorised redistribution or knowing participation in piracy is governed by the permanent enforcement provisions in Section 8.
Creating or using another account to bypass a permanent suspension or termination is prohibited.
Any account reasonably identified as being used to evade a permanent suspension may also be suspended or terminated.
Purchases or subscriptions made through an account used to circumvent a permanent restriction will not automatically create a right to continued access or a refund, except where required by law.
Temporary suspensions remain in effect until their stated expiry unless overturned through the applicable appeal process.
Customer Support cannot remove a temporary suspension early merely on request. Where available, the user may appeal through the official Suspensions / Restrictions support area.
Termination for misconduct does not create a right to continued access to hosted services, future downloads, updates, support or All Access benefits.
Termination does not transfer, remove or extinguish Eggy's intellectual-property rights.
Statutory consumer rights that survive termination remain unaffected.
Eggy does not guarantee uninterrupted or error-free availability of its services.
Services may become temporarily unavailable because of:
Eggy will make reasonable efforts to maintain and restore services but does not promise a specific uptime percentage or restoration period unless a written service-level agreement expressly states otherwise.
Reasonable operational backups may be maintained for some Eggy services, but users must not assume that every item of user data can always be recovered.
Where users control their own XenForo installation, server or hosting environment, they are responsible for maintaining appropriate backups before installing, upgrading or modifying software.
Customers should also retain private backups of legitimately downloaded Eggy software that they wish to continue using after an applicable download entitlement or All Access membership ends.
Eggy is not responsible for damage caused solely by a user failing to follow reasonable backup or installation instructions, except to the extent that liability cannot legally be excluded.
Eggy products and services may interact with third-party platforms, IRC networks, APIs, hosting providers, payment processors, XenForo or other external systems.
Eggy does not control those third parties.
Changes introduced by a third party may affect compatibility, functionality, connectivity or availability.
Where practical, Eggy may provide an update or workaround, but continued compatibility with every third-party change cannot be guaranteed.
Personal information is handled in accordance with the current Eggy Privacy Policy.
The Privacy Policy explains how relevant account, billing, security, communication, service and usage information may be collected and processed.
Download, licence and membership entitlement records may be retained where reasonably necessary for account administration, support, security, licensing, abuse prevention and the operation of Eggy services.
These Terms do not replace the Eggy Privacy Policy.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded under applicable consumer law.
Eggy is not responsible for losses resulting solely from circumstances outside Eggy's reasonable control.
Nothing in these Terms limits statutory rights available to consumer customers.
Where a customer uses Eggy primarily for business purposes, Eggy will not be responsible for indirect loss, loss of profits, loss of business opportunity or similar commercial losses except where applicable law prevents such limitation.
Customers should first raise billing, licence, membership, support or service disputes through the appropriate official Eggy support channel.
Eggy will make reasonable efforts to review legitimate complaints and provide an appropriate response.
Submission of a complaint or appeal does not permit continued abuse, redistribution, piracy, account evasion or other violation of these Terms while the matter is being considered.
These Terms are governed by the laws of England and Wales, subject to any mandatory consumer protections that apply in the customer's country of residence.
Nothing in these Terms deprives a consumer of legal protections that cannot lawfully be excluded by contract.
Eggy may update these Terms where reasonably necessary because of:
Material changes will be identified by updating the revision date and may also be announced through Eggy where appropriate.
Changes will not retrospectively remove rights already legally acquired through a completed purchase except where required by law, required for legitimate security purposes or permitted by an existing contractual provision.
Continued use of an ongoing Eggy service or membership after revised Terms take effect constitutes acceptance of those revised Terms where legally permitted.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
Failure by Eggy to enforce a provision on one occasion does not permanently waive the right to enforce that provision on another occasion.
Different enforcement action may be appropriate in different circumstances depending on the seriousness, evidence, history and nature of the violation, except where these Terms expressly provide for a specific consequence such as confirmed unauthorised redistribution under Section 8.
Questions concerning these Terms, purchases, licences, Eggy All Access, Eggy BNC, Eggy Mail or other Eggy services should be submitted using an official contact or support method published on eggy.net.
Users should not rely upon contact information supplied by an unverified third party claiming to represent Eggy.
By creating an Eggy account, accessing an Eggy service, purchasing or downloading an Eggy product, beginning an Eggy All Access membership or other subscription, or continuing to use an ongoing Eggy service after these Terms take effect, you acknowledge that you have read and agreed to the Terms applicable to your use.
If you do not agree to the applicable Terms, you must not use the affected Eggy service or purchase, subscribe to or download the affected Eggy product.
